1. Eligibility

The SAINT Partner Program ("Program") is open to any individual or business entity ("Partner") who registers through the SAINT Partner Portal or is otherwise approved by SAINT Secured LLC ("SAINT"). Partners must be at least 18 years of age and legally eligible to receive taxable income in the United States. Current SAINT employees and their immediate household members are not eligible to participate as Partners.

2. Qualifying Referral

A "Qualifying Referral" is a business or organization that:

• Has not been a SAINT client (no active SAINT Service Agreement) within the 12 months preceding the referral submission date;
• Is submitted through the Partner Portal, by phone (531-625-2111), or by email with the Partner's identifying information;
• Is not already in SAINT's active sales pipeline at the time of submission;
• Signs a SAINT Service Agreement with a minimum annualized contract value of $3,000;
• Remains an active, paying SAINT client in good standing for 90 consecutive calendar days ("Qualification Period").

SAINT reserves the right to determine whether a referral meets the Qualifying Referral criteria. Deal registration protects the Partner's referral for 90 days from the date of submission; after that period, the referral may be reassigned.

3. Reward -- Public / Partner Program

Upon successful completion of the Qualification Period, the referring Partner will receive a one-time cash reward based on the annualized contract value of the new client's SAINT Service Agreement:

• Small Business tier: $250 cash -- for contracts under $10,000/year
• Standard tier: $500 cash -- for contracts between $10,000 and $25,000/year
• Enterprise tier: $1,000 to $2,500 cash -- for contracts of $25,000+/year (exact amount at SAINT's discretion based on scope)

Rewards are paid via prepaid Visa or Mastercard gift card within 30 calendar days following the conclusion of the 90-day Qualification Period. Partners may also choose to receive their reward as an Amazon gift card or donate the equivalent to a charity of their choice (including veteran-focused organizations). All rewards constitute taxable income to the Partner. SAINT will issue IRS Form 1099-NEC for any Partner who receives $600 or more in total rewards within a single calendar year.

4. Reward -- Client Program

Existing SAINT clients who refer Qualifying Referrals are eligible for the following additional benefits:

• 10% discount on the referring client's monthly SAINT invoice for 3 consecutive months per Qualifying Referral;
• Discounts are stackable up to a maximum of 50% of the referring client's monthly invoice;
• Enterprise referrals ($25,000+/year contract value) entitle the referring client to 1 full month of SAINT services at no charge;
• Client rewards are applied in lieu of -- not in addition to -- the cash reward tiers above, unless otherwise approved in writing by SAINT.

5. Referral Stacking

Partners may submit an unlimited number of referrals. Each Qualifying Referral earns its own independent reward. Referral rewards do not compound or multiply based on the number of referrals submitted. Partner tier benefits (Referral, Silver, Gold, Platinum) are based on the cumulative number of closed referrals within a rolling 12-month period and provide additional bonuses as outlined in the Partner Tier program details.

6. Limited-Time Promotion (2026)

Through December 31, 2026, SAINT is offering a launch promotion: the first 25 Qualifying Referrals submitted by any Partner will receive a flat $1,000 cash reward regardless of contract size, plus a 15% discount on annual SAINT services for the referring Partner. This promotion is subject to availability and may be modified or terminated at SAINT's sole discretion. Promotion rewards are subject to the same Qualification Period and payment terms as standard rewards.

7. New Client Discount

Referred businesses that become SAINT clients may be eligible for introductory pricing or promotional discounts at the time of signing. Any such discounts are at SAINT's sole discretion and do not affect the Partner's reward amount. The Partner's reward is calculated based on the full annualized contract value before any introductory discounts.

8. General Provisions

• SAINT reserves the right to modify, suspend, or terminate the Partner Program at any time with reasonable notice to active Partners.
• SAINT may disqualify any Partner or referral that it believes, in its sole discretion, involves fraud, misrepresentation, or activity inconsistent with the spirit of the Program.
• Partners are independent referral sources and are not employees, agents, or representatives of SAINT. Nothing in this Program creates an employment, agency, or joint venture relationship.
• Partners agree not to make false, misleading, or unauthorized representations about SAINT's services, pricing, or capabilities.
• All disputes related to the Program will be governed by the laws of the State of Nebraska and resolved through binding arbitration in Douglas County, Nebraska.
• SAINT's liability under the Program is limited to the payment of earned rewards as described herein.

9. Disclaimer

The SAINT Partner Program is provided "as is." SAINT makes no guarantees regarding the volume, frequency, or success rate of referrals, nor the continued availability of any specific reward tier, promotion, or benefit. Reward amounts, qualification criteria, and program structure are subject to change. By participating, Partners acknowledge that they have read, understood, and agreed to these Terms & Conditions in their entirety.
